1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “Customer”, or “Importer”) and Cargozant Logistics (“Cargozant”, “we”, “us”, or “our”), governing your access to and use of cargozant.com, the Cargozant Chrome Extension, our landed cost calculators, API endpoints, and our cross-border logistics and freight forwarding services.

By accessing our website, installing the Chrome extension, completing a checkout transaction, or tendering goods for freight shipping, you affirm that you are at least 18 years of age and legally authorized to enter into this agreement. If you do not agree with all of these terms, you must refrain from using our services.

2. Description of Offerings

Cargozant operates as an integrated commercial platform providing two primary services:

1. Software & Digital Tools: Proprietary software including the Cargozant Chrome Extension for 1688, Alibaba, and Taobao; landed cost simulation calculators; HSN/tariff classification lookup; and batch procurement export tools.
2. Logistics & Customs Services: Cross-border B2B freight forwarding from China to India and the United States; consolidation warehousing in Shenzhen and Guangzhou; customs brokerage assistance; and door-to-door cargo transport.

3. Pricing, Invoicing & Payment Gateway Terms

All payments on our platform are processed securely via our RBI-authorized payment partner, Razorpay.

• Currencies & Denominations: Prices for digital software passes (e.g. Pro Monthly Pass at ₹499, Pro Annual Pass at ₹3,999, Pro Lifetime Pass at ₹6,999) are quoted in Indian Rupees (INR) inclusive of applicable taxes, and may also be presented in USD equivalent for international users.
• Server-Side Protection: All checkout amounts are validated and locked server-side to prevent client tampering.
• Recurring Subscriptions: Monthly passes renew every 30 days unless cancelled before the renewal date. You may cancel your subscription anytime via email or your issuing bank mandate without incurring cancellation charges.
• Payment Security: Cargozant does not collect or store raw card numbers, CVVs, or UPI PINs. Transactions are routed through Razorpay’s 256-bit SSL encrypted, PCI-DSS Level 1 certified environment.
• Goods and Services Tax (GST): Invoices for digital services comply with the Central Goods and Services Tax (CGST) Act, 2017, and IGST Act, 2017. B2B buyers can input their GSTIN during checkout to receive tax invoices for input tax credit (ITC).

4. Software License & Chrome Extension Use

Upon purchasing a Pro Importer Pass, Cargozant grants you a limited, non-exclusive, non-transferable, revocable license to utilize the Cargozant Chrome Extension solely for internal business sourcing and landed cost research.

• Device Binding: Each license key is bound to the buyer’s hardware environment as tracked by anonymous device fingerprinting. Sharing license keys publicly or across unauthorized devices will result in automatic key revocation.
• Restrictions: You agree not to reverse engineer, decompile, scrape, redistribute, or resell the extension codebase or our underlying tariff algorithms without explicit written authorization.

5. Customs Compliance & Importer of Record Responsibilities

When contracting freight forwarding or door-to-door shipping services through Cargozant:

• Importer of Record: For formal commercial shipments cleared under your company’s IEC (Import Export Code), you remain the legal Importer of Record and warrant that your business possesses an active GSTIN, IEC, and Authorized Dealer (AD) Code registered with Indian Customs.
• Accuracy of Documentation: You are responsible for ensuring that all commercial invoices, supplier declarations, and product descriptions truthfully state the transactional value, material composition, and intended use of the goods.
• Regulatory Compliance: Certain commodities require mandatory Indian statutory clearances prior to import, including Bureau of Indian Standards (BIS) certification, Wireless Planning & Coordination (WPC) approvals, EPR e-waste registrations, or Legal Metrology packaging compliance. Cargozant is not responsible for seizures, penalties, or delays resulting from failure to obtain required licenses.
• Prohibited Commodities: Customers strictly agree NOT to ship prohibited or contraband items, including: narcotics, hazardous chemicals, flammable materials, counterfeit or replica trademarked goods, unauthorized wireless jamming equipment, military equipment, currency, or endangered wildlife derivatives (CITES).

6. Freight Rates, Chargeable Weight & Quotations

Freight quotations provided on the website or via our estimators are based on dimensional volumetric standards:

• Chargeable Weight Formula: Chargeable weight equals the greater of actual gross weight or volumetric weight, calculated as Length (cm) × Breadth (cm) × Height (cm) ÷ 5000 for air freight, or Cubic Meters (CBM) for ocean cargo.
• Slab Rounding: Chargeable weight rounds up to the nearest 0.5 kg for parcels at or below 20 kg, and to the nearest 1.0 kg above 20 kg.
• Rate Adjustments: Spot freight rates, airline fuel surcharges, and customs exchange rates fluctuate weekly in international trade. Final freight charges are verified upon intake at our China consolidation warehouse.

7. Limitation of Liability & Force Majeure

• Consequential Damages: To the maximum extent permitted by applicable law, Cargozant shall not be liable for indirect, incidental, punitive, or consequential damages, including loss of business profits or inventory downtime.
• Transit Claims: Cargo liability for uninsured goods is limited in accordance with the Warsaw Convention, Montreal Convention, and Indian Carriage by Air Act, 1972. Customers are strongly encouraged to opt for 100% comprehensive transit insurance coverage.
• Force Majeure: Cargozant shall not be held liable for shipment delays, cancellations, or damages caused by events beyond reasonable control, including acts of God, extreme weather, air carrier groundings, port congestion, sovereign customs inspection audits, labor strikes, or geopolitical trade restrictions.

8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles.

• Jurisdiction: Subject to the arbitration clause below, any legal proceedings arising from these Terms or our services shall fall under the exclusive jurisdiction of the competent courts in Hyderabad or Mumbai, India.
• Arbitration: In the event of any dispute or controversy, the parties agree to first seek amicable resolution through good-faith dialogue. Failing resolution within 30 days, the dispute shall be resolved through binding arbitration in accordance with the Indian Arbitration and Conciliation Act, 1996, conducted in English by a sole arbitrator mutually appointed by both parties.
• International & US Clients: Cross-border transactions are executed under international commercial terms (Incoterms 2020) and subject to standard UN Convention on Contracts for the International Sale of Goods (CISG) exclusions.
